End User Licence Agreement

This End User Licence Agreement ("EULA") is a binding agreement between you ("you", "the user") and Hoseh Technology ("Hoseh Seller", "we", "us", or "our"), a business registered in Malaysia (SSM), and governs your use of the Hoseh Seller application and related services ("the Application"). This EULA is between you and Hoseh Seller only — the marketplaces you connect (Shopee, Lazada, TikTok Shop) are not parties to it.

By creating an account, ticking the acceptance box, or using the Application, you agree to this EULA. If you do not agree, do not use the Application. This EULA should be read together with our Terms of Service, Privacy Policy, and Data Protection & Security page.

1. Licence Grant

Subject to this EULA, Hoseh Seller grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Application to view analytics about your own marketplace shops, for your own internal business purposes only.

3. Read-Only Authorisation

When you connect a shop, you authorise Hoseh Seller to access that shop's data on a read-only basis through the marketplace's official OAuth flow, solely to provide analytics back to you. You confirm you have the right to grant this access, and you may revoke it at any time through the marketplace's Seller Centre / app-authorisation settings.

4. Marketplace Data and the Platforms as Third-Party Beneficiaries

Because the Application accesses data from Shopee, Lazada, and TikTok Shop ("the Platforms") under each Platform's developer programme, you acknowledge and agree that:

You agree that Hoseh Seller may engage trusted sub-processors to host and operate the Application on our behalf. Each is engaged under data-protection terms at least as restrictive as the applicable Platform requirements, processes data only on our instructions, and Hoseh Seller remains responsible for them. These cover database and server hosting, AI text generation (Google, via the Gemini API), error monitoring, transactional email, and website hosting. 6. Data Retention & Deletion

We minimise the marketplace data we keep. Buyer personal data obtained from a Platform is removed before storage and not retained. The raw payload we receive from a Platform is deleted after 90 days; what remains is your own derived order and financial figures, which are retained for as long as the relevant shop remains connected and your account is active, to provide the analytics Service — subject to the Platforms' developer terms and applicable law, and to deletion on your request. Tax-turnover records (monthly totals with no buyer or order-level detail) are retained until you delete your account.

When you disconnect a shop or close your account, we stop accessing that shop's data and delete the synced marketplace data immediately, and in any event within 14 days, except where retention is required by law. You may request an export of your data before termination.

7. Data Breach & Cross-Border Handling

If we become aware of a security incident affecting Platform data, we will act on it promptly and notify the affected Platform within the timeframe its developer terms require. Where data is processed or stored outside your country by a sub-processor, we take steps to keep it protected to a standard consistent with Malaysia's PDPA 2010, and we obtain any consent a Platform requires for restricted cross-border transfers.

The Application, including its design, software, and content, is owned by Hoseh Technology and protected by applicable intellectual-property laws. This EULA grants you only the limited right to use the Application as described here. Your store data and business information remain your property.

10. Disclaimers

The Application is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Application will be uninterrupted or error-free, or that figures will be complete or accurate. Analytics and any guidance are for informational purposes only and are not professional financial, tax, or legal advice.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Hoseh Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Application. Our total liability for any claim shall not exceed the greater of (a) RM500 or (b) the amount you paid us in the three months preceding the claim.

Nothing in this EULA excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence, or death or personal injury caused by our negligence.

12. Indemnification

You agree to indemnify and hold harmless Hoseh Technology and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Application, your violation of this EULA or of any Platform's terms, or your infringement of any third-party rights.

13. Termination

We may suspend or terminate your licence for violation of this EULA or conduct harmful to the Application or a Platform. You may terminate at any time by disconnecting your shops or contacting us at hello@hoseh.app. As stated in Section 4, your licence in respect of a Platform terminates automatically if Hoseh Seller's access to that Platform is terminated. On termination, the deletion terms in Section 6 apply.

14. Governing Law

This EULA is governed by the laws of Malaysia, and disputes are subject to the courts of Malaysia. Nothing in this EULA limits any mandatory consumer-protection or data-protection rights available to you under Malaysian law, which apply regardless of this clause. Where we make the Application available in another country in future, mandatory rights available to you under that country's law are likewise not affected.

15. Changes to This EULA

We may modify this EULA from time to time. We will notify registered users of material changes by email and update the "Last updated" date. Continued use of the Application after changes constitutes acceptance of the revised EULA.
